Lumenloop Terms and Conditions
1. Introduction
These Terms and Conditions govern the supply of goods and services by Lumenloop Ltd (“Lumenloop”, “we”, “us”, or “our”).
By placing an order with Lumenloop, you agree to be bound by these Terms. If you do not agree, you must not proceed with an order.
2. Intellectual Property
All drawings, designs, specifications, images, and documentation provided by Lumenloop remain the property of Lumenloop unless otherwise agreed in writing.
Such materials must not be copied, reproduced, or shared with third parties without prior written consent.
3. Product Information and Specifications
We take reasonable care to ensure that product descriptions, specifications, and technical information are accurate. However:
- All information is provided for guidance only
- Product images, renders, and drawings are illustrative
- Due to the bespoke nature of many luminaires, final products may vary slightly in appearance or specification
We reserve the right to make changes to specifications where necessary, including where components are updated, improved, or substituted with equivalent alternatives.
4. Orders and Acceptance
4.1 Order Acceptance
All orders are subject to acceptance by Lumenloop. Acceptance occurs when we issue written confirmation or commence design, procurement, or manufacture of the goods, whichever occurs first.
4.2 Built-to-Order Products
Many Lumenloop products are manufactured, configured, or customised to order. By placing an order, you acknowledge that such products are produced specifically for your requirements and may not be suitable for resale.
5. Payment Terms
Unless otherwise agreed in writing, all orders are supplied on a pro forma basis. Payment must be received in full before production or dispatch.
We reserve the right to suspend or cancel any order where payment is not received or is reversed.
6. Cancellations, Returns and Restocking
6.1 Standard Products
For standard, non-customised products, cancellation requests may be considered prior to dispatch at Lumenloop’s discretion.
Where a cancellation is approved, it will be subject to a restocking fee of between 10% and 25% of the total order value. This fee reflects handling, inspection, administrative, and logistics costs.
6.2 Custom, Bespoke and Special Orders
Where products are customised, configured, or manufactured to order (including but not limited to non-standard sizes, finishes, outputs, optics, emergency functions, controls, or any variation from standard specification):
- Orders are non-cancellable once design, procurement, or manufacture has commenced
- Where cancellation is agreed at Lumenloop’s sole discretion, it will be subject to a cancellation or restocking fee of between 25% and 50% of the total order value
- This reflects costs incurred in design, engineering, sourcing, and production
6.3 Discretion
Lumenloop reserves the right, at its sole discretion, to reduce or waive any applicable cancellation or restocking fees on a case-by-case basis, without creating any obligation to do so in future cases.
6.4 Returns
We do not accept returns of bespoke, customised, or made-to-order products unless faulty.
Returns of standard products may only be accepted with prior written approval and will remain subject to restocking fees, return shipping costs, and inspection upon receipt.
6.5 Faulty or Damaged Goods
Faulty or damaged goods must be reported within a reasonable timeframe. Where a valid claim is confirmed, we will repair, replace, or refund in accordance with applicable UK law.
Nothing in these Terms limits your statutory rights.
7. Customer Responsibility (Specification, Suitability and Installation)
The customer is solely responsible for:
- Ensuring all product specifications, dimensions, and configurations are correct prior to ordering
- Verifying compatibility with the intended installation environment, including ceiling systems, mounting conditions, and electrical infrastructure
- Confirming that the products are suitable for the intended application
Lumenloop does not take responsibility for:
- Incorrect product selection
- Dimensional incompatibility or fitment issues
- Installation errors or site conditions
- Any costs arising from reinstallation, modification, delays, or replacement due to incorrect specification
All technical guidance provided by Lumenloop is given in good faith but does not constitute design responsibility unless explicitly agreed in writing.
8. Delivery
Delivery dates are estimates only and are not guaranteed. We shall not be liable for delays caused by circumstances outside our control, including supply chain disruption, manufacturing delays, or logistics issues.
Risk in the goods passes to the customer upon delivery. Title to the goods remains with Lumenloop until full payment has been received.
9. Limitation of Liability
To the fullest extent permitted by law, Lumenloop shall not be liable for:
- Any indirect, incidental, or consequential loss
- Loss of profit, revenue, contracts, or business opportunity
- Project delays or associated costs
Lumenloop’s total liability for any claim shall not exceed the total amount paid for the goods in question.
10. Warranties
Products are supplied with the benefit of any applicable manufacturer warranties.
Except as expressly stated, all warranties, conditions, and terms implied by statute or common law are excluded to the fullest extent permitted by law.
11. Indemnity
You agree to indemnify and hold harmless Lumenloop against any claims, losses, or damages arising from:
- Incorrect specification or use of the products
- Improper installation
- Breach of these Terms
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
